ARTICLES OF ORGANIZATION
HINCKLEYS POND ASSOCIATION, INC.


ARTICLE I - Organization's Name
The organization is the Hinckleys Pond Association, Inc.

ARTICLE II - Purpose

Whereas, as a result of land use changes associated with an increasing coastal population, a steady decline in water quality in coastal plains has been noted in recent decades, and

Whereas, the freshwater ponds on the coastal plain of Cape Cod represent an environmentally and ecologically rich asset, improving the quality of life of the public while also providing economic benefits, and

Whereas, Hinckleys Pond located in the Town of Harwich in the Commonwealth of Massachusetts, is vulnerable to further degrading effects, both manmade and natural, and

Whereas, recent studies conducted of Hinckleys Pond has shown nutrient-related water quality declines in several areas,

The Hinckleys Pond Association, Inc. (HPA) is organized and operated exclusively as a charitable organization to preserve and protect the natural environment and ecological systems of Hinckleys Pond and surrounding parcels of lands and watershed. The organization will participate in studies and work with other agencies, individuals, and groups to educate the public, serve the community, and promote and preserve Hinckleys Pond and surrounding areas. As appropriate, the organization will make distributions to other organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future Federal tax code. No part of the net earnings of the organization shall inure to the benefit of, or be distributed to, its members, trustees, officers, or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of its purpose, as described above. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distributing of statements), any political campaign on behalf of any candidate for public office. The organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal income tax under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future Federal tax code, or (b) by an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future Federal tax code. In the event of the dissolution of the organization, any accumulated assets, net of expenses, shall be distributed to the Brooks Public Library, Harwich, MA or for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future Federal tax code, or to the Federal government, or to a state or local government, for a public purpose.

ARTICLE III - Location

The HPA is located in the Town of Harwich, in Barnstable County, MA. The mail address is 9 Stanley Rose Road, Harwich, MA 02645.
